1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the website operated by CER PROPERTIES, LLC ("Company," "we," "us," "our") at cerproper.shop and, where applicable, your engagement of our services. By accessing the website or contacting us for services, you agree to these Terms. If you do not agree, do not use the website.
Specific engagements — property management agreements, appraisal engagement letters, escrow instructions, listing agreements — are governed by their own written contracts, which control over these Terms to the extent of any conflict.

The website is provided for informational purposes. You may use it to learn about our services and contact our offices. You agree not to:
- Use the website for any unlawful purpose or in violation of applicable law;
- Attempt to gain unauthorized access to our systems or the data of any other party;

4. No Professional Advice on This Site
Content on this website — including descriptions of services, market commentary, and examples — is general information only. It does not constitute legal, tax, accounting, investment, or real estate advice, and it does not create an appraisal, management, agency, or fiduciary relationship. A professional relationship begins only upon execution of a written engagement agreement.
Important: nothing on this website is an offer to perform services in any jurisdiction where the Company is not properly authorized, or an offer that cannot lawfully be made.
5. Services Generally
All services are provided under written agreements. Before work begins, we will confirm in writing:
- The scope of services and any limitations or exclusions;
- Fees, retainers, and payment terms;
- The parties to the engagement and our role (agent, manager, appraiser, escrow agent, fiduciary, consultant);
- Deliverables, reporting schedules, and timelines; and
- Any regulatory or licensing considerations applicable to the engagement.
Engagement terms control. These Terms apply to the extent they do not conflict with a signed agreement.
6. Property Management Engagements
Where the Company manages property on an owner's behalf:
- Authority. Our authority — to lease, collect rents, contract for maintenance, and disburse funds — is defined by the management agreement. We act within that authority as the owner's agent.
- Trust funds. Rents, deposits, and owner funds are held in designated accounts and administered according to the agreement and applicable law.
- Reporting. We provide periodic statements of account, occupancy, and property condition as specified in the agreement.
- Emergencies. Where immediate action is required to protect persons or property, we may act outside standard approval thresholds and report afterward.
- Tenant matters. Screening, leasing, notices, and related actions are performed in compliance with applicable housing and fair-housing laws.
7. Appraisal Services
Where the Company provides real estate appraisal services:
- Appraisals are opinions of value as of a stated date, based on defined assumptions, limiting conditions, and methodologies set out in the report;
- An appraisal is prepared for the identified client and intended users only — reliance by other parties is at their own risk;
- Appraisal fees are not contingent on the value conclusion; payment is due regardless of the outcome; and
- Appraisals are not guarantees of value, price, or marketability.
8. Escrow & Fiduciary Services
Where the Company acts as escrow agent or fiduciary:
- Instructions control. We hold and disburse funds and documents strictly in accordance with written escrow instructions executed by the parties.
- No discretion. We do not mediate disputes between transaction parties; absent mutual instruction or court order, funds remain in escrow.
- Deposits. Funds are held in designated accounts; where required, they are held in interest-bearing or non-interest-bearing accounts as the instructions specify.
- Records. We maintain complete records of receipts, holdings, and disbursements, available to the parties on request.
- Interpleader. Where conflicting claims arise, we may deposit funds with a court and recover associated costs from the escrow as permitted.
9. Fees, Compensation & Disclosure
- Fees for each service line are set out in the applicable written agreement before work begins;
- Management fees, appraisal fees, escrow fees, listing commissions, and consulting fees are distinct and separately disclosed;
- Where compensation is received from third parties in connection with an engagement (for example, vendor referral arrangements), it will be disclosed as required by law and the engagement agreement;
- Estimates and proposals are not binding until confirmed in a signed agreement.
10. Confidentiality
Information provided in the course of an engagement — ownership records, tenant files, transaction documents, financial information — is treated as confidential and used only to perform the engagement, except as required by law or authorized in writing. Our handling of personal information is described in our Privacy Policy.

Liability arising from professional services is governed by the applicable engagement agreement, including any limitation-of-liability provisions contained therein.
14. General Provisions
- Governing law. These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. Venue for disputes not subject to a separate agreement shall be the state or federal courts located in Weber County, Utah.
